Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PoweredQuip platform, including the website, mobile applications, software, features, and related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree, do not use the Service.
1. Definitions
- "Company," "we," "our," "us" refers to PoweredQuip, a company located in Puyallup, WA.
- "Service" means the CRM, scheduling, client-management, invoicing, messaging, and related tools.
- "User," "Customer," "you" means any individual or business using the Service.
- "Authorized Users" means employees, contractors, or team members you invite to your account.
- "Content" means all data, client information, images, text, files, or materials submitted through the Service.
2. Eligibility
To use the Service, you represent and warrant that:
- You are at least 18 years old, OR
- You are 13–17 years old AND are an Authorized User under the supervision of an adult account owner.
- You have the legal authority to bind yourself or your business.
- Your use complies with all applicable laws.
Individuals under 13 may not use the Service under any circumstance.
Teens (13–17) cannot create their own business accounts. They may only be added as Authorized Users by an adult business owner and must be supervised.
3. Account Registration
To use the Service, you must create an account and provide accurate information.
You agree to:
- Maintain accurate profile and billing information
- Protect your password
- Accept responsibility for all actions under your account
If you add Authorized Users, you are responsible for:
- Their actions
- Their compliance with these Terms
- Ensuring minors (13–17) are supervised and used only for legitimate business purposes
4. License to Use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for internal business use.
You may not:
- Copy, modify, or reverse-engineer the Service
- Resell or sublicense the Service
- Circumvent security or technical limitations
5. Ownership
The Service, including:
- Software
- Databases
- Architecture
- UI/UX designs
- Documentation
- Trademarks
- Updates and enhancements
is the exclusive property of the Company. These Terms do not grant you ownership rights.
6. User Content
You retain ownership of Content you submit. You grant us a limited license to store, back up, and process Content solely to operate the Service.
You are responsible for:
- Accuracy of uploaded content
- Obtaining permissions from your customers
- Compliance with privacy and data-protection laws
We do not access your CRM Content unless necessary for:
- Support
- Security
- Legal compliance
- Maintaining or improving the Service
7. Acceptable Use Policy
You agree not to:
- Use the Service unlawfully or fraudulently
- Upload customer data you do not have rights to use
- Collect or share "blacklists," risk ratings, or defamation about customers
- Harass, abuse, or threaten others
- Upload viruses or harmful code
- Attempt unauthorized access to the platform
- Send spam, mass marketing, or unsolicited messages
We may remove content or suspend accounts that violate this policy.
8. Beta / Early Access Disclaimer
By using Beta or Early Access features, you acknowledge:
- Features may be unstable or incomplete
- Issues such as bugs, outages, or data loss may occur
- Beta features are provided AS IS without warranties
- We may modify or remove Beta features at any time
9. AI-Assisted Features
PoweredQuip includes AI assistant features to help you manage your business.
AI output may contain errors and should be reviewed before acting on it.
You are responsible for actions taken based on AI-generated suggestions.
We do not guarantee the accuracy, completeness, or fitness of AI-generated suggestions, quotes, or summaries.
You must not use AI features to process data you do not have lawful rights to use.
10. Payment, Billing & Subscription
- Monthly or annual billing
- Automatic renewal
- No refunds for partial periods
- Stripe handles all payment processing
- You authorize recurring charges
11. Termination & Suspension
We may suspend or terminate access if:
- You violate these Terms
- You fail to pay
- Your use creates risk or legal exposure
You may terminate your account at any time.
Before deleting your account, you may export your data from Settings → Account & Privacy.
When you delete your account, you are immediately logged out and lose access. Your account is then queued for permanent deletion 30 days later, at which point all associated data is purged and cannot be recovered. To recover the account during the 30-day window, contact support@poweredquip.com.
12. Disclaimer of Warranties
To the fullest extent allowed by law: The Service is provided "AS IS" and "AS AVAILABLE."
We do not guarantee:
- Uptime
- Error-free operation
- Accuracy or completeness of data
- Business results
- Compatibility with all devices or networks
You assume all risks associated with using the Service.
13. Limitation of Liability
To the maximum extent allowed by law: The Company is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages.
Our total liability for any claim is limited to the amount you paid in the past 12 months, or $100 if on a free/beta plan, whichever is greater.
14. Indemnification
You agree to indemnify and hold the Company harmless from claims or damages arising from:
- Your misuse of the Service
- Your Content
- Violations of law
- Violations of these Terms
15. Changes to the Service
We may modify, add, or remove features at any time. We will provide notice when changes are significant.
16. Updates to These Terms
We may update these Terms periodically. The "Last Updated" date will reflect changes. Continued use = acceptance of updated Terms.
17. Governing Law
These Terms are governed by WA State law. All disputes must be resolved in courts located in Pierce County, WA.
